TERMS AND CONDITIONS OF BUSINESS
1. Definitions
“Company” refers to Fabwell Heating & Plumbing Ltd.
“Customer” refers to the person, company, or organisation receiving services.
“Works” refers to all services, labour, materials, and equipment supplied by the Company.
2. Quotations & Acceptance
2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 Acceptance of a quotation (written or verbal) constitutes agreement to these Terms & Conditions.
2.3 The Company reserves the right to amend quotations if unforeseen works arise.
3. Pricing & VAT
3.1 All prices are exclusive of VAT unless stated otherwise.
3.2 VAT will be applied at the prevailing rate.
3.3 Quotations are based on visible conditions; additional work required will be charged accordingly.
4. Payment Terms
4.1 Payment is due within 30 days of invoice date unless otherwise agreed in writing.
4.2 The Company reserves the right to request deposits or stage payments for larger works.
4.3 Late payments may incur interest and compensation charges under the Late Payment of Commercial Debts (Interest) Act 1998.
4.4 The Company reserves the right to suspend works or withhold certification if payments are not received within agreed terms.
5. Domestic Reverse Charge & CIS (Where Applicable)
5.1 For applicable works under the Construction Industry Scheme (CIS), deductions may be made in accordance with HMRC rules.
5.2 Where Domestic Reverse Charge VAT applies, VAT will not be added to the invoice total but must be accounted for by the Customer.
5.3 It is the Customer’s responsibility to confirm their VAT and CIS status.
6. Access & Site Conditions
6.1 The Customer must provide safe and reasonable access to the work area.
6.2 The Company is not responsible for delays caused by restricted access, third parties, or site conditions beyond its control.
6.3 Additional charges may apply if return visits are required due to access issues.
7. Materials & Equipment
7.1 All materials supplied remain the property of the Company until paid for in full.
7.2 The Company reserves the right to substitute materials with equivalent alternatives where necessary.
7.3 Customer-supplied materials are not covered under Company warranty.
8. Workmanship & Warranty
8.1 The Company guarantees workmanship for 12 months from completion.
8.2 Manufacturer warranties apply to all parts supplied.
8.3 The warranty does not cover misuse, lack of maintenance, or third-party interference.
9. Liability
9.1 The Company will carry out all works with reasonable skill and care.
9.2 The Company shall not be liable for:
- Pre-existing faults or defects
- Indirect or consequential losses
- Damage caused by factors beyond its control
9.3 Liability is limited to the value of the works carried out.
10. Health & Safety
10.1 The Company operates in accordance with all relevant UK health and safety legislation.
10.2 Risk assessments and method statements can be provided upon request.
11. Cancellations
11.1 The Company reserves the right to charge for cancellations made within 24 hours of the scheduled appointment.
11.2 Any work completed up to the point of cancellation must be paid in full.
12. Force Majeure
The Company shall not be liable for delays or failure to perform due to events beyond its control, including but not limited to weather, supply issues, or emergencies.
13. Complaints
Any complaints must be made in writing within 7 days of completion of the works.
14. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
15. Entire Agreement
These Terms & Conditions constitute the entire agreement between the Company and the Customer and supersede any prior agreements.
